NuGEO Terms of Service Effective: 31 August 2026 Version: 2026-08-31-v2 These Terms govern business use of NuGEO. An Order may add commercial details for a particular engagement. 1. Business agreement NuGEO offers the service for business and professional use by adults. By creating an account, accepting an Order, paying, or using the service, you agree to these Terms for yourself and the organization you represent, and confirm that you have authority to bind that organization. These Terms, the applicable order form, proposal, invoice, or other written service order (each an “Order”), and the Privacy Policy form the agreement. An Order controls if it expressly conflicts with these Terms on scope, price, credits, timing, or delivery. 2. Service and results NuGEO analyzes selected public sites, connected business data, and third-party AI, search, and recommendation systems. Depending on the Order, deliverables may include saved data, reports, prioritized recommendations, and detailed instructions that a customer's agents or development team can begin implementing within hours. AI and search systems change, personalize, make errors, and remain outside NuGEO's control. NuGEO does not guarantee any ranking, indexing, inclusion, mention, citation, recommendation, correction, traffic, conversion, revenue, or reputation result. Measurements are bounded samples, not a view of every private conversation. You remain responsible for reviewing, approving, testing, deploying, and monitoring any change. 3. Customer responsibilities You must provide accurate information, maintain account security, use the service lawfully, and have all rights and permissions needed for materials, domains, credentials, instructions, and connected data you submit. Do not submit unnecessary sensitive personal information, unlawful material, malware, or content that infringes another person's rights. You grant NuGEO and its service providers a limited right to host, copy, retrieve, transform, and otherwise process submitted materials only as needed to provide, secure, support, and improve the contracted service and comply with law. If you invite a client or other stakeholder to a report, you confirm that you are authorized to share that report and its contents with the recipient. You remain responsible for choosing the recipient, the relationship with that recipient, and any instructions you give them. 4. Fees, plans, and credits Fees, taxes, payment dates, service units, and included work are stated in the Order. Unless the Order says otherwise, payment is due in advance and NuGEO may wait for cleared funds before beginning or delivering work. The Brand Year plan has a 24-month minimum term. Its full contract price is paid before the term begins. A monthly report included in that plan must be requested and used within its contract month; missed monthly reports do not bank or roll over. The plan does not renew automatically unless an Order expressly says it does. Pay-as-you-go and other account credits are limited, non-transferable service units. They are not money or property, have no cash value, and cannot be withdrawn or resold. Credits do not expire unless the applicable Order expressly states an expiration. Used, promotional, bonus, or improperly obtained credits are not refundable. Except where mandatory law requires otherwise or an Order expressly provides a remedy, purchases are final. Cancellation, non-use, failure to request a monthly report, or a decision not to implement a recommendation does not create a refund, credit, extension, or rollover. 5. Ownership and confidentiality You retain ownership of materials you provide. NuGEO retains its software, systems, templates, methods, know-how, general improvements, and pre-existing materials. After full payment, you receive a perpetual, non-exclusive license to use the delivered reports and instructions internally, with contractors working for your organization, and with a client or stakeholder for whose benefit you ordered the report. You may not resell them, publish them as a NuGEO service, or use them to build a competing service. An account owner may use NuGEO's private sharing feature to grant one invited recipient read-only access to a selected report. Sharing does not transfer the report, the account, credits, or rights to any other report, and does not authorize public distribution. NuGEO treats customer reports, strategy context, and connected data as non-public. NuGEO may disclose them to personnel and providers who need them to perform the service, to professional advisers, when legally required, or as described in the Privacy Policy. NuGEO will not publicly identify you as a customer or publish a case study without permission. 6. Availability and third parties NuGEO will use reasonable care to provide the service, but it is provided on an as-available basis. No service level applies unless an Order states one. NuGEO may change, replace, limit, or discontinue a feature or third-party integration and may pause work for maintenance, safety, provider failure, or events beyond reasonable control. Third-party sites, models, data sources, and platforms have their own terms and practices. NuGEO is not responsible for their availability, decisions, output, or changes. 7. Suspension and termination NuGEO may suspend access or work for overdue payment, security risk, suspected fraud, unlawful or abusive use, a material breach, a third-party restriction, or risk to the service or others. NuGEO will give notice where reasonably practicable. Either party may terminate as an Order permits. Your decision to stop using the service does not cancel committed fees or create a refund. If NuGEO permanently discontinues prepaid work that it has not delivered for reasons other than your breach, the remedy stated in the Order applies; if none is stated, NuGEO will provide the remedy mandatory law requires. 8. Disclaimers, liability, and indemnity To the fullest extent permitted by law, the service and deliverables are provided without implied warranties, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. NuGEO is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, data, goodwill, opportunity, or anticipated savings. To the fullest extent permitted by law, NuGEO's total aggregate liability arising from an affected service will not exceed the fees you paid NuGEO for that service during the 12 months before the event giving rise to the claim. These exclusions and limits do not apply where liability cannot lawfully be excluded or limited, including liability caused by fraud, intentional misconduct, or gross negligence to the extent applicable law so requires. You will defend and indemnify NuGEO and its personnel against third-party claims, losses, and reasonable costs arising from materials or instructions you provide, your implementation or use of deliverables, your unlawful use of the service, or your breach of another person's intellectual-property, confidentiality, privacy, or other rights, except to the extent caused by NuGEO's gross negligence or intentional misconduct. 9. Changes NuGEO may update these Terms prospectively. Material changes will be presented for fresh acceptance before further customer use. A change to these Terms does not retroactively change the committed price, scope, or term of an existing Order unless the parties agree in writing or mandatory law requires it. 10. Governing law and general terms Costa Rican law governs this agreement, without regard to conflict-of-law rules. Subject to any forum that mandatory law requires, the courts of San José, Costa Rica have exclusive jurisdiction. The Spanish version controls for Costa Rican transactions if the English and Spanish versions conflict. Neither party is liable for delay caused by events beyond its reasonable control, but payment obligations already due remain due. You may not assign the agreement without NuGEO's written consent; NuGEO may assign it with its business or relevant assets. The agreement is the entire agreement about its subject. If one provision is unenforceable, the rest remains effective. A waiver must be written and applies only to that instance. Notices to NuGEO must be delivered in writing to the address below.
